Objective of the Assignment

The Lawyers will provide legal guidance and counseling to the supported beneficiaries, ensuring that start-ups are legally established and operate in compliance with Iraqi laws and regulations as well as ensuring other law-related topics are clear for the new business owners.

سيقدم المحامون الإرشاد والاستشارات القانونية للمستفيدين المدعومين، لضمان تأسيس الشركات الناشئة بشكل قانوني وتشغيلها وفق القوانين والأنظمة العراقية، بالإضافة إلى توضيح المواضيع القانونية الأخرى لأصحاب الأعمال الجدد.

Positions and Duty Stations

• Position 1: Lawyer services in Falluja (Anbar)
• Position 2: Lawyer services in Sumel (Duhok) and Sinuni (Ninewa)

• الوظيفة 1: خدمات قانونية في الفلوجة (الأنبار)
• الوظيفة 2: خدمات قانونية في سميل (دهوك) وسنوني (نينوى)

Scope of Work

Under the supervision of the Project Manager and project staff, the Lawyers will:

• Provide legal advisory services to AVSI to understand the type of business registrations available in the targeted areas for small start-ups with a low budget
• Support beneficiaries in business registration and legal compliance
• Deliver legal counseling sessions to project participants as instructed by the Project Manager
• Carry out coordination and meetings with governmental entities/public offices to facilitate legal processes for the beneficiaries and ensure that legal process are carried out properly
• Maintain proper documentation and reporting of services provided as instructed by the Project Manager

تحت إشراف مدير المشروع وطاقم المشروع، سيقوم المحامون بما يلي:

• تقديم خدمات استشارية قانونية لمنظمة AVSI لفهم أنواع تسجيل الأعمال المتاحة للشركات الناشئة الصغيرة ذات الميزانية المحدودة
• دعم المستفيدين في تسجيل الأعمال والامتثال القانوني
• تقديم جلسات استشارة قانونية للمشاركين في المشروع حسب توجيهات مدير المشروع
• التنسيق وعقد الاجتماعات مع الجهات الحكومية والمكاتب العامة لتسهيل الإجراءات القانونية للمستفيدين وضمان تنفيذها بشكل صحيح
• الحفاظ على توثيق مناسب وإعداد التقارير للخدمات المقدمة وفق تعليمات مدير المشروع

Key Responsibilities and Deliverables

A. Legal Guidance on Business Registration

• Advise AVSI on appropriate legal frameworks and registration pathways for small start-ups
• Identify the simplest, fastest, and most cost-effective registration options
• Ensure that registration costs do not exceed the project’s available budget for each start-up
• Provide step-by-step guidance and support on:

• Required documentation
• Registration procedures
• Relevant authorities and institutions

• تقديم المشورة لمنظمة AVSI حول الأطر القانونية المناسبة وطرق التسجيل للشركات الناشئة الصغيرة
• تحديد أبسط وأسرع وأقل الخيارات تكلفة للتسجيل
• ضمان ألا تتجاوز تكاليف التسجيل ميزانية المشروع المخصصة لكل شركة ناشئة
• تقديم إرشادات خطوة بخطوة حول:
  • الوثائق المطلوبة
  • إجراءات التسجيل
  • الجهات والمؤسسات المعنية

B. Legal Counseling to Beneficiaries

Provide at least 2 counseling sessions per beneficiary for:

• 75 beneficiaries in Falluja
• 150 beneficiaries in Sumel/Sinuni

Counseling Topics (to include, but not limited to):

• Business registration procedures and legal forms (sole proprietorship, partnerships, etc.)
• Licensing and permits requirements
• Tax obligations and basic financial compliance
• Contract drafting and review (suppliers, clients, employees)
• Labor law basics and employee rights/obligations
• Intellectual property basics (branding, trademarks if applicable)
• Dispute resolution mechanisms
• Risk management and legal liabilities
• Business closure procedures (if needed)
• Compliance with local regulations and municipal requirements

ب. الاستشارات القانونية للمستفيدين
تقديم جلستين استشاريتين على الأقل لكل مستفيد:

• 75 مستفيدًا في الفلوجة
• 150 مستفيدًا في سميل/سنوني

مواضيع الاستشارات (تشمل ولا تقتصر على):

• إجراءات تسجيل الأعمال والأشكال القانونية (ملكية فردية، شراكات، إلخ(
• متطلبات التراخيص والتصاريح

• إعداد ومراجعة العقود (الموردين، العملاء، الموظفين(
• أساسيات قانون العمل وحقوق وواجبات الموظفين
• أساسيات الملكية الفكرية (العلامة التجارية، إن وجدت(
• آليات حل النزاعات
• إدارة المخاطر والمسؤوليات القانونية
• إجراءات إغلاق الأعمال (عند الحاجة)
• الامتثال للوائح المحلية ومتطلبات البلديات

C. Documentation and Database

• Develop and maintain a comprehensive database of all legal counseling sessions, including:
  • Beneficiary details
  • Date and location of sessions
  • Topics covered
  • Key issues raised and advice provided
  • Ensure data is accurate, updated, and shared regularly with the project team

ج. التوثيق وقاعدة البيانات

• تطوير والحفاظ على قاعدة بيانات شاملة لجميع جلسات الاستشارة القانونية، تشمل:
  • بيانات المستفيدين
  • تاريخ ومكان الجلسات
  • المواضيع التي تمت تغطيتها
  • القضايا الرئيسية والنصائح المقدمة
  • ضمان دقة البيانات وتحديثها ومشاركتها بانتظام مع فريق المشروع

D. Reporting

• Submit regular progress reports (templates provided by the Project Manager) on a weekly basis including:
  • Number of sessions conducted
  • Key legal challenges faced by beneficiaries
  • Recommendations for program improvement
• Provide a final report summarizing:
  • Achievements
  • Common legal gaps
  • Lessons learned and recommendations

د. التقارير

• تقديم تقارير تقدم منتظمة (وفق نماذج يقدمها مدير المشروع) بشكل أسبوعي، تشمل:

• عدد الجلسات المنفذة
• التحديات القانونية الرئيسية التي يواجهها المستفيدون
• توصيات لتحسين البرنامج
• تقديم تقرير نهائي يتضمن:
• الإنجازات
• الثغرات القانونية الشائعة
• الدروس المستفادة والتوصيات

E. Additional Support (Recommended Additions)

• Develop simple legal guidance materials (handouts or FAQs) for beneficiaries
• Deliver group awareness sessions on key legal topics (if required)
• Coordinate with trainers to align legal guidance with entrepreneurship training content
• Provide on-call support for urgent legal inquiries during the project duration
• Flag any protection or legal risks affecting beneficiaries to the NGO

هـ. دعم إضافي (مقترح)

• إعداد مواد إرشادية قانونية مبسطة (منشورات أو أسئلة شائعة) للمستفيدين
• تقديم جلسات توعوية جماعية حول مواضيع قانونية رئيسية (عند الحاجة)
• التنسيق مع المدربين لمواءمة الإرشاد القانوني مع محتوى تدريب ريادة الأعمال
• تقديم دعم عند الطلب للاستفسارات القانونية العاجلة خلال مدة المشروع
• الإبلاغ عن أي مخاطر قانونية أو متعلقة بالحماية تؤثر على المستفيدين إلى المنظمة

Duration of the Assignment

The duration will be defined based on project timeline and workload, including:

• Counseling sessions
• Registration support
• Reporting and documentation

The duration required for conducting such work is a timeframe of 7 months part-time.

Required Qualifications and Experience

• Law degree from a recognized university
• Licensed to practice law in Iraq
• Minimum 3–5 years of relevant professional experience
• Experience in:
  • Business law and registration procedures
  • Legal counseling for SMEs or entrepreneurs
• Previous experience with NGOs or development projects is an asset
• Strong knowledge of Iraqi legal and administrative systems

• إجازة مزاولة مهنة المحاماة في العراق
• خبرة مهنية لا تقل عن 3–5 سنوات
• خبرة في:
  • قانون الأعمال وإجراءات التسجيل
  • تقديم الاستشارات القانونية للمشاريع الصغيرة أو رواد الأعمال
• الخبرة السابقة مع المنظمات غير الحكومية أو مشاريع التنمية تعتبر ميزة إضافية
• معرفة قوية بالنظام القانوني والإداري العراقي

The Lawyers will report to the Project Manager and coordinate closely with:

• Technical team
• Field staff
• Admin and Logistics Staff
